


Participation Regulations for the KEMPER BusinessClub
1. Area of Application
The following regulations apply to the KEMPER BusinessClub. The KEMPER BusinessClub is made available by the KEMPER GmbH, Von-Siemens Str. 20, 48691 Vreden. 2. Participation in the KEMPER BusinessClub
2.1 Any dealer who has directly registered with KEMPER can take part in the KEMPER BusinessClub. Any person older than 18 years is entitled to registered as well as organisations and legal entities. Registration can be performed online or offline by filling out the registration form and sending it to KEMPER or by registering over the telephone.
2.2 As soon as the participant has registered, KEMPER creates a BusinessClub account. After the registration and creation of the account the contract between the participant and KEMPER comes into existence and participation in the KEMPER BusinessClub begins.
2.3 Participation in the KEMPER BusinessClub is free of charge.
2.4 At the latest, during redemption of the collected BusinessClub points, the participant must enter correct and up to date data. Please give changes in the data entered during registration as quickly as possible to KEMPER GmbH by telephone, in written form or over our website www.kemper.eu.
2.5 After receiving the membership card the member must immediately put his signature on the card. The card is not transferable and remains the property of KEMPER.
2.6 KEMPER retains the right to deny the membership to anyone without grounds 3. Collecting BusinessClub-Points
3.1 As a member of KEMPER BusinessClub you have the opportunity to collect BusinessClub points. The BusinessClub points are credited to the KEMPER BusinessClub account.
3.2 To record the BusinessClub points the participant must give his customer number, as shown on the membership card, unbidden, to the sales representative during every order. After the invoice is issued, the recording of the customer number and as a result, the recording of BusinessClub points, is no longer possible.
3.3 BusinessClub points can only be collected by KEMPER.
3.4 After the close of a transaction which is granted BusinessClub points, the BusinessClub points are first credited when the order has been fully paid. Only then does the participant have the premium points fully at his disposal. BusinessClub points can be cancelled if the participant violates these regulations or fails to fulfil the requirements for receiving the BusinessClub points. Furthermore KEMPER retains the right to make a cancellation if the transaction for which the participant received BusinessClub points is retracted.
3.5 The use of BusinessClub points is only applicable in the framework of the KEMPER BusinessClub.
3.6 BusinessClub points collected during participation in KEMPER BusinessClub are valid for two years after the final credit action. If the KEMPER BusinessClub points are not redeemed 24 months after the final credit action then these are forfeited.
3.7 A component part of the KEMPER BusinessClub is the delivery of promotional information about KEMPER BusinessClub and products of KEMPER. The participant can cancel the delivery of advertisements from KEMPER by giving notice by an email to mail(at)kemper.eu or by post.
4. Redemption of BusinessClub Points.
4.1 Collected BusinessClub points can only be redeemed as premiums in KEMPER BusinessClub at www.kemper.eu.
4.2 The participant can only first redeem the BusinessClub points when he has collected sufficient unlocked BusinessClub points for the premium which he has selected. The KEMPER BusinessClub points which were first credited are redeemed.
4.3 The number of BusinessClub points necessary to redeem a premium can change.
4.4 Premiums can only be Conveyed within Europe.
4.5 A premium once redeemed cannot be converted back into BusinessClub points or traded for a different premium.
5. Access to the BusinessClub Account
5.1 If the participant has registered online at the KEMPER website, he has access to his BusinessClub account after identifying himself with his customer number and password.
5.2 The participant is obligated to keep the password and username as well as the membership card safe and protected from access by unauthorised third parties. The password can be changed by the participant at any time. Any access made with his password or membership card, whether authorised or not, are regarded as those of the registered participant.
5.3 Every participant can query his account over the KEMPER website.
6. Guarantee for Defective Premiums
If the delivered premium from KEMPER shows defects then KEMPER guarantees it within the limits of appropriate legal regulations. In such cases the participant can select as rectification of the defect a correction of the defect or the new delivery of a defect-free object. KEMPER can deny the selected form of rectification if it leads to unusually high costs.
If the rectification of defects fails twice from the side of KEMPER or if KEMPER denies both forms of rectification or if KEMPER fails to meet the rectification within the time demanded by the participant, then the participant is entitled to statutory warranty rights (reduction, withdrawal, reimbursement of expenses and damages).
7. Cancellation and Termination of the KEMPER BusinessClub
7.1 A cancellation through KEMPER is only possible under compliance with a commensurable notice period unless the cancellation is made for an important reason. Cancellation is made in written form. You are required to destroy the KEMPER BusinessClub card after the notice period has expired and in the case of a cancellation made for an important reason the BusinessClub card is to be destroyed when the cancellation has been received.
7.2 You can end your participation in the KEMPER BusinessClub at any time without compliance to a notice period by using a written notice to KEMPER (by email or post).
7.3 KEMPER reserves the right to terminate, amend or change the KEMPER BusinessClub within a commensurable notice period, when faced with an important reason also without adherence to such a notice period, under commensurable observation of your interests.
8. Changes in Participation Requirements
Furthermore KEMPER reserves the right to change these general participation regulations or to add to them, as far as is needed in the interest of a simple and secure processing and especially in the interest of prevention of abuse. Changes will be sent to you in advance to your last known address. A change is considered as accepted by the participant if the participant still collects KEMPER BusinessClub points one month after being informed of the change.
If the participant does not accept the participation regulation changes as aforesaid, this is considered a cancellation of the KEMPER BusinessClub membership by the participant.
KEMPER will again point out this fact to the participant when the new regulations are provided.
9. Jurisdiction, application of German law
9.1 German law applies to the exclusion of the Uniform Law on the International Sale of Goods (CISG)
9.2 If the participant is a merchant, Ahaus has jurisdiction. Ahaus is also agreed to have jurisdiction for the case where the participant has no general jurisdiction in Germany. This also applies when the participant moves his residence outside of Germany or if the residence is unknown at the time of filing suit. 10. Obligation of Secrecy, Use of Personal Data of the Participant 10.1 When participating in KEMPER BusinessClub your full name, your full address and, in an online registration, your email is needed (master data) in order to open a BusinessClub account. This master data is necessary to redeem your KEMPER BusinessClub points and is directly stored with KEMPER. When you collect BusinessClub points, only the data is given and recorded which is absolutely necessary in order to credit your account (transaction data). Transaction data is composed of your membership number as well as participant identification, the number of BusinessClub points, the revenue amount executed, the booking date. The personal data (master and transaction data) about you is used for the execution of the KEMPER BusinessClub. Your personal data will not be given to third parties without your permission. 10.2 Advertising and Market Research The participant thereby consents to allow the stored master and transaction data, as well as voluntary information to be used for purposes of market research as well as individual preparation and delivery of selected information by post and email. This consent can be withdrawn at any time from KEMPER, mail(at)kemper.eu. After the withdrawal participation in KEMPER BusinessClub can continue, in any case, the use of personal data for the administration of the KEMPER BusinessClub is then excluded. 11. Cancellation 11.1 The participant can cancel his registration within two weeks without giving reason in a text form (e.g. letter, fax, email). The time period begins at the earliest with the closure of this contract. To remain within the time period it suffices to send the cancellation within this time. The cancellation is to be sent to KEMPER GmbH, Von-Siemens-Str. 20, 48691 Vreden, email : mail(at)kemper.eu 11.2 The right of withdrawal expires prematurely if KEMPER proceeds with the service with the express permission of the participant before the end of the cancellation time period of if the participant causes this(e.g. by making use of KEMPER BusinessClub).
